Terms of Service & Delivery
1. Introduction
Welcome to Noxalio LTD (Company No: 17146409, England & Wales). These General Terms of Service govern the use of our website as well as the provision of all our digital services (web design, custom application & CRM development, hosting services). By accepting a quote, signing an agreement, or using our services, you agree to be bound by these terms.
2. Hosting & Service Level Agreement (SLA)
Infrastructure: Applications and websites are hosted and maintained exclusively on the Provider's (Noxalio LTD) infrastructure.
Uptime Guarantee: The monthly server availability target (Uptime) is set at 98%.
Maintenance: Any necessary system upgrade or technical maintenance work will be performed, whenever possible, during off-peak hours to minimize service interruption.
3. Technical Support
Communication regarding support requests, bug reporting, or clarifications is conducted exclusively via email at: .
Request management and issue resolution are executed on a Best Effort basis, evaluated according to the criticality and severity of each case.
4. New Features, Fair Use Policy & Third-Party Services
Scalability & Fair Use Policy: Should the Client require new features, custom tools, or application modifications in the future, these may be implemented at no extra charge, provided they comply with our Fair Use Policy of up to two (2) working hours per month. For free implementation to apply, the following conditions must also be met:
- Changes remain within a reasonable scope and do not exceed the monthly limit of 2 hours.
- Changes do not alter the core architecture of the project / CRM.
- Scheduling and implementation are subject exclusively to the Provider's availability.
Exceeding Limits & Abuse: Requests requiring work time beyond 2 hours monthly, or requests deemed an abuse of service, will be quoted and billed separately following prior written estimate and approval before work commences.
Third-Party Costs: Agreed service prices do not include costs for third-party providers chosen to operate the application (e.g., API purchases for SMS/Viber, Payment Gateways, premium plugins, etc.). Any such extra charges are borne by the Client and may adjust the total cost.
5. Financial Terms, Payments & Invoicing
Fees & Payment Methods: Service costs (fixed annual, semi-annual, or one-off) are specified in the agreement or quote accepted by the Client. Payments are made via Bank Transfer, debit/credit card, or electronic payment channels.
Payment Processing & Invoicing: Transactions and issuance of tax invoices/documents may be processed:
- Directly by Noxalio LTD, or
- Via authorized international payment partners acting as official resellers / Merchant of Record (MoR). In such cases, the payment partner is responsible for charging, collection, tax calculation, and issuing lawful tax documents.
Taxation (B2B): For direct invoicing by Noxalio LTD to business clients (B2B), VAT may not be applied under the Reverse Charge mechanism, provided a valid corporate VAT / VIES ID is submitted. For transactions via Merchant of Record, VAT/Sales Tax calculations follow the respective provider's tax rules.
Adjustments: Recurring fees (e.g., annual hosting/CRM subscriptions) may be adjusted for subsequent billing cycles, always upon prior notice and agreement between the provider and client.
6. Project Ownership & Intellectual Property
Client Data: Content (texts, photos, logos) and data (customer records, databases) uploaded into applications remain the sole and exclusive property of the Client.
Transfer of Ownership: Upon full and final settlement of agreed fees, ownership of the final deliverable is transferred to the Client, excluding pre-existing code libraries or third-party licenses protected under their own copyrights.
Portfolio: Noxalio LTD reserves the right to display the completed work in its portfolio for demonstration purposes, unless a specific Non-Disclosure Agreement (NDA) has been executed.
7. Acceptable Use & Termination Rights
The Client agrees not to use digital services and infrastructure for:
- Illegal activities or hosting illegal/pirated content.
- Distribution of malicious software (malware) or viruses.
- Sending unsolicited bulk commercial email (Spam).
- Actions causing excessive load and compromising server integrity.
Noxalio LTD reserves the right to temporarily suspend or permanently terminate services (without compensation or refund) in the event of a material breach of the above.
8. Limitation of Liability
Noxalio LTD makes every reasonable effort to ensure smooth, secure, and uninterrupted service operation. However, it accepts no liability for any indirect, incidental, consequential, or special damages (including loss of profits or data) arising from the use or inability to use its systems. Our maximum aggregate liability is strictly limited to the total amount paid by the Client for the specific service during the preceding 12 months.
9. Amendments to Terms
We reserve the right to unilaterally amend these general terms. In the event of material changes affecting active contracts, existing clients will be notified via email at least 30 days before changes take effect.
10. Dispute Resolution & Governing Law
Any dispute arising shall first be attempted to be resolved amicably out of court in good faith. If unresolved, the dispute shall fall under the exclusive jurisdiction of the courts of England and Wales, governed exclusively by the laws of England and Wales.
